Interject’s License Support Statement

These Terms and Conditions become effective upon receipt by Interject Data Systems, Inc. (“Interject”) of applicable License Fees purchased by Customer. These Terms and Conditions will govern the rights and obligations of the Support Services described in any relationship between Interject, Interject Partner, and Customer. Future versions of this document will be posted here

1. DEFINITIONS

1.1 “Interject Platform” means the current version of the software add-in within a spreadsheet that Interject provides so Customer and Partners can build and/or use data-centric applications, “Interject Applications.”

1.2 “Interject Application” means the programming code and user interfaces built using Interject Platform features to provide business applications and reports for customers.

1.3 “Interject Application Creator” means the Customer, Partner, consultant, or any party (including Interject) that creates an Interject Application for the Customer.

1.4 “Interject Portal Website” means the cloud application enabling the Interject Platform to authorize user logins and use of the features of the Interject Platform.

1.5 “Supported Spreadsheets Software” means the spreadsheet brand and version with which the Interject Platform is designed to integrate. Currently, this includes on-premise Excel 2013 to Excel 2019. Excel Online support is currently under development.

1.6 “Customer” means companies that have a valid license to the Interject Platform.

1.7 “Partner” means consultants or software providers that have an association with Interject to provide development and support services to Customers.

2. SERVICE TERMS

2.1 Interject will use commercially reasonable efforts to make the Interject Portal Website available 24 hours a day, 7 days a week, except for (a) scheduled downtime of the management console or (b) any unavailability caused by Force Majeure. To help ensure consistent and reliable operations in case the Interject Portal Website is not available, the Interject Platform is designed to enable continued functionality in the Customer’s network with existing configuration for 7 days.

2.2 Interject will use commercially reasonable efforts to ensure the Interject Platform functions as documented in the publicly released versions of the Supported Spreadsheet Software. Due to the accelerated release schedules of the spreadsheet brands, Customers may need to revert back to previous versions of their spreadsheet application until Interject has adequate time to update for newly released changes to the spreadsheet.

2.3 Interject Applications that operate using the Interject Platform are the responsibility of the Interject Application Creator and are supported by a separate service or support agreement, statement of work, engagement letter, or other documents with the Interject Application Creator.

2.4 Interject is not responsible for Visual Basic Applications code, spreadsheet add-ins or other modifications from vendors that may interfere with the functionality of the Interject Platform. 

2.5 Interject is not responsible for the errors and unavailability of data sources that Interject Application Creators use in their created Interject Applications, nor for the undocumented use of the Interject Platform. When Interject is the Interject Application Creator, service and support are covered by another document as noted in section 2.3.

2.6 Services provided for support might later be deemed to not be the fault of the Interject Platform. In this case, depending on the amount of time spent and the circumstances around each case, a reasonable portion of the time spent by Interject may be considered billable by Interject to the Customer, Partner, or Interject Application Creator.

3. LIMITATION OF LIABILITIES

3.1 To the extent permitted under applicable law (i) in no event shall Interject be liable for any loss of profits, loss of revenues, loss of income, or replacement costs, nor for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, however they arise, whether related to the Interject Platform or related services, even if Interject has been advised of the possibility of such damages; and (ii) Interject’s total liability, whether arising in contract, negligence, tort, strict liability or otherwise, shall not exceed the total amount of the license fees payable by Customer to Interject. The above limitation of liability shall not apply in the event of gross negligence, willful misconduct, or breach of mandatory public law provisions.
